Terms of Service

These terms govern your access to and use of Vinmur (“the Service”), operated by Open Source AI Ltd, a company registered in England & Wales (“we”, “us”).

1. Acceptance

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you are using the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

3. Account & security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

4. Acceptable use

You agree not to use the Service to host, transmit, or facilitate:

  • Content that is unlawful, defamatory, infringing, or violates third-party rights;
  • Child sexual abuse material (CSAM) or any content that sexualises minors — accounts are terminated and reported to authorities without notice;
  • Malware, phishing pages, command-and-control infrastructure, or attack tooling;
  • Spam, unsolicited bulk messaging, or content that violates anti-spam laws;
  • Cryptocurrency mining, distributed computation, or workloads that materially impact other customers;
  • Content promoting violence, terrorism, or extremism;
  • Adult or sexually explicit content without prior written permission;
  • Activity that violates UK law, EU law, or the laws of any jurisdiction you operate in.

We may suspend or terminate access for violations of this section at our discretion, with or without notice.

5. Your content

You retain ownership of all content you upload or generate through the Service. You grant us a non-exclusive, royalty-free licence to host, transmit, cache, and display your content solely to provide the Service.

You are solely responsible for the legality, accuracy, and appropriateness of your content. We do not pre-screen content, but we may remove content that violates these Terms or applicable law.

6. Subscriptions & billing

  • Plans: The Service is offered on monthly or annual subscription plans, with current pricing shown at vinmur.uk/pricing.
  • Payment: Subscriptions are billed in advance via Stripe. You authorise recurring charges to your payment method.
  • Renewal: Subscriptions renew automatically until cancelled.
  • Cancellation: You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period.
  • Refunds: UK and EU consumers have a 14-day cooling-off period from initial purchase, except where you have begun using the Service immediately upon purchase (in which case you waive cancellation rights for that period under the Consumer Contracts Regulations 2013, Reg 36). Beyond this, paid fees are non-refundable.
  • VAT: Prices exclude VAT where applicable. UK VAT is added at checkout for UK customers. EU customers may be charged VAT under reverse-charge or destination-based rules.
  • Price changes: We may change prices with at least 30 days’ notice. Changes take effect at your next renewal.

7. Service availability

We aim to provide the Service with high availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, and force-majeure events may cause downtime. We are not liable for losses resulting from downtime.

8. Suspension & termination

We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or engage in activity that risks harm to us or other customers. Upon termination, your data may be deleted after a 30-day grace period unless we are legally required to retain it.

You may close your account at any time. Subscription fees already paid are non-refundable except as required by law.

9. Intellectual property

The Service, its software, design, and underlying technology are owned by us and protected by intellectual property laws. You receive a limited, revocable, non-transferable licence to use the Service in accordance with these Terms.

10. Disclaimer of warranties

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties (express, implied, or statutory), including merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes liability that cannot be excluded under UK or EU consumer law.

11. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) £100, or (b) the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.

Nothing in this section limits liability for death, personal injury caused by our negligence, fraud, or any other liability that cannot be limited under applicable law.

12. Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from (a) your content, (b) your use of the Service in violation of these Terms, or (c) your violation of any law or third-party right.

13. Changes to the Service or Terms

We may modify the Service or these Terms at any time. Material changes will be notified by email or dashboard notice. Continued use after changes take effect constitutes acceptance.

14. Governing law & jurisdiction

These Terms are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction to resolve any dispute, except that consumers resident in the EU may also bring claims in the courts of their country of residence.
